Interestingly John, I had a conversation with McCann and Dodds during the week and they both highlighted that we lacked any real identity when it came to Scottish football and that they thought there were players playing in Scotland that could make a huge difference.
Dodds actually compared Shankland to himself.

As long as the wages are not ridiculous, don't see why we shouldn't sign Shankland, a Scottish International on a free transfer and a Rangers fan to boot, helps us in a number of different ways . Even if he's one of three options with Danilo and Igamane we would be better off that we currently are . He has played off the main striker this season and that gives us another option too.
I suppose it will all come down to the budget, will we have money to splash out on a higher level of player and will our wage structure be bumped up a bit by the hew owners.

We are going to lose a lot of players in summer and a couple of players from the SPL for the squad is needed, Shankland been playing a no 10 this season to be fair on his goals for, his hold up play is good and could be handy off bench for the no9 slot, as a said we could lose a dozen players and some experience at low cost will be needed to get the numbers up.

He's no only had one good season storm/ Bar 31 last season, 29 season before that. He's been playing as a 10 most of season, so he's not been kept out of team with a 17yr old, he's played over 3000 mins of football. I think because he wouldn't sign a new deal, hearts were thinking of themselves and rightly put that young boy up front to get him exposure, thinking we'll take better care of the guys that want to be here. Just an opinion.

This season is the most important though if you claim he would take the chances Dessers has missed surely. and last year his shot conversion rate was only 3-4% better than Dessers as he took 100 shots to score his 24 league goals. not trying to start an argument trying to reflect the stats rather than an opinion.

I'm presuming it's 51% of the shares to take control. presuming again that Dave King will sell but any1 know of others willing to sell or are 49ers wanting 100%?
Also did this current share issue done to pay off certain directors loans so they can sell their shares possibly or was it just for capital. Any1 in the know enlighten me please.

51% (the '50+1' in Germany) to take 'control' as you put it in Legal terms. That individual (or Group) would have carte-blanche to do as they please essentially. They would have the majority stakeholdings (and voting rights) and could not be out-voted by the other 49%.
There would possibly be loopholes to jump through if the 49ers retain their interest in Leeds, and of course, the SFA have some barriers to that as well (which is why the Bournemouth guy could only get around 30% of Hibs in the summer there). Likewise Brighton's interest in Hearts is lower than that 30% figure.
We are currently set up via the shareholders' stakes so that no single individual has that majority. I believe King is around the mid-teens and Park etc similar.
Current share issue was agreed at the previous AGM to convert 'debt' (directors' loans giving us liquidity) into equity as a form of repayment (i. e. taking additional shares to repay the loan/ facility given) . Timing of that share announcement is purely coincidental and nothing to do with the emergence of the 49ers story leak.

Legal bear my understanding was that certain decisions require special resolutions such as share issue without need to offer to existing shareholders. these special resolutions require 75% vote. also those shareholders with 50%, 25%, 15%, 10% and even 5% have rights and can apply to court to argue against even a special resolution. so whilst I agree that in likelihood most decisions practically would go through possibly with votes of those in consort the majority shareholder unless they hold more than 75% doesn't have carte blanche. or at least from what I have read online.

Angus, you're somewhat there. It is true there is a distinction between what is called an 'Ordinary Resolution' (50%+) compared to a 'Special Resolution' (75%) . As the names suggest, the occurence of the latter is rare and only in certain scenarios (changing the name, changing the Articles and how the Company generally operates, listing the company etc) .
In terms of day to day for the Club, it's primarily Ordinary Resolutions that will be used, and require a simple majority of the Directors to pass (hence the carte-blanche analogy I used earlier) like appointment of Directors and key positions charged with the day-to-day running of the Club and its football / commercial operations.

But LB one of the reason for a special resolution is the offering of shares without making that offer to all shareholders. that requires a 'person' to hold 75% of the shares or more. so the resolution at the AGM to allow shares to be raised and sold was a special resolution. not 100% sure but the creation of new shares to pay off loans sounds along the same lines.
I also don't believe that it was a coincidence in the timing of the announcement of loans to shares to coincide with the breaking of the news for the takeover.

Couple of points, pretty sure managers are entitled to thier full contract, I know they can come to an agreement with club to take less so the clubs don't just put them on gardening leave. But legally when you sign a contract it's pretty much iron clad.
I really don't know if PC can be a success with us, but the money it would cost to get rid would take up a large chunk of the limited funds we have available for players. Personally I would rather we spend it on players that we desperately need, particularly in forward areas. Since he has been manager we have been lucky to have one fit wide player for basically his whole tenure, sometimes none at all. Turning to Yilmaz when Hagi was deservedly hooked yesterday shows how little we have available.
While that does not excuse yesterday's result it does give an idea what he has been up against, mainly due to poor recruitment over a number of years.

Scotland as a nation now are screwed since conference came in. Think we currently in 12th position in co efficient. Read that now regardless of which European league points for wins draws are all equal. Since rarely another Scottish club gets through qualifiers it's gona be harder and harder for us to qaulify in years to come.
